Terms & Conditions
The rules that apply when you use this site or engage us for work.
1. Agreement
These Terms govern your use of https://edoble.in and any services provided by Edoble (“Edoble”, “we”, “us”). By using this site or engaging us, you accept these Terms.
Where we sign a separate written agreement, statement of work or proposal with you, that document takes precedence over these Terms wherever the two conflict.
2. Definitions
- Client — the person or organisation engaging us for services.
- Deliverables — the software, designs, documentation and other materials we produce for you.
- Scope — the written description of the work, in a proposal or statement of work.
- Services — software development, design, consulting and related work we provide.
3. Using this site
You may browse and use this site for lawful purposes. You must not:
- Attempt to gain unauthorised access to the site or any system connected to it.
- Introduce malware, or interfere with the site's normal operation.
- Scrape or copy content systematically for commercial use without our written permission.
- Misrepresent your identity or affiliation when contacting us.
Content on this site is provided for general information. It does not constitute professional advice or a binding offer.
4. Our services
We provide software development, mobile application development, e-commerce and billing systems, IT consulting and UI/UX design.
Each engagement is defined by a written Scope which sets out what is being built, what is excluded, the fee, and the timeline. Work begins once you approve the Scope and any advance payment has been received.
Timelines are estimates made in good faith. They assume you provide content, access, feedback and approvals when needed. Delays on your side move the delivery date accordingly.
5. What we need from you
To deliver on time, we need you to:
- Provide accurate information, content and assets when we ask for them.
- Give access to systems, hosting and accounts that the work requires.
- Respond to questions and approval requests within a reasonable time.
- Name one person with authority to approve decisions on your behalf.
- Confirm that any content you supply does not infringe anyone else's rights.
6. Fees and payment
Fees are stated in the Scope. Unless it says otherwise:
- An advance of 40% is payable before work begins.
- Remaining payments follow the milestones set out in the Scope.
- The final payment is due before deployment to your production environment.
- Invoices are payable within 7 days of issue.
We accept bank transfer, UPI, and online payment through a licensed payment aggregator. Online payments are processed by providers such as PayU, Razorpay or Cashfree. We do not store your card, UPI or net-banking credentials.
If an invoice is more than 15 days overdue we may suspend work and withhold Deliverables until payment is received. We may charge interest at 1.5% per month on overdue amounts.
Refunds and cancellations are covered in our Refund & Cancellation Policy. Indicative pricing is on our Pricing page.
7. Taxes
All fees are exclusive of GST and any other applicable taxes, which are added at the prevailing rate. Where tax is deducted at source, you must provide the TDS certificate promptly.
8. Changes to scope
You can request changes at any time. Anything outside the agreed Scope is a change request: we will tell you in writing what it costs and how it affects the timeline, and it proceeds only once you approve.
Minor adjustments that do not materially affect effort are usually absorbed without extra charge. We will always tell you which category a request falls into before doing the work.
9. Intellectual property
What you receive
On full payment, you receive a perpetual, worldwide, non-exclusive licence to use the Deliverables for your own business purposes. Until full payment is received, no licence is granted.
We retain ownership of the source code and all underlying intellectual property. Source code is not transferred as part of a standard engagement.
What stays with us
We keep ownership of our pre-existing tools, libraries, frameworks and general know-how. Where these are embedded in your Deliverables, you receive a perpetual, worldwide, non-exclusive licence to use them as part of the Deliverables.
Third-party components
Deliverables may include open-source or licensed third-party components, which remain governed by their own licences. We will tell you what has been used.
Portfolio rights
Unless you ask us in writing not to, we may reference the project and show non-confidential screenshots in our portfolio and marketing. We will never disclose your confidential information or user data.
10. Third-party services
Projects often depend on services we do not control — hosting, payment gateways, SMS and email providers, mapping and analytics. You are responsible for the accounts and fees for those services unless the Scope says otherwise. We are not liable for their downtime, price changes, or discontinuation.
11. Confidentiality
Each of us will keep the other's confidential information confidential, use it only for the purpose of the engagement, and not disclose it without permission. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law. This obligation continues for 3 years after the engagement ends.
12. Warranty
We warrant that the Services will be performed with reasonable skill and care, and that the Deliverables will materially conform to the Scope.
We provide a 30-day defect correction period from delivery. During it we fix, at no charge, defects where the Deliverables do not perform as described in the Scope. This does not cover new features, changes you request, problems caused by modifications made by others, or failures in third-party services.
Beyond this, the Services and Deliverables are provided “as is”. We do not warrant that software will be uninterrupted or entirely error-free.
13. Liability
Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
Subject to that, our total liability arising out of an engagement is limited to the total fees you have paid us for that engagement in the 12 months before the claim.
Neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, or loss of data, however caused.
You are responsible for maintaining backups of your own data.
14. Termination
Either party may terminate an engagement by giving 15 days written notice. Either party may terminate immediately if the other commits a material breach and fails to remedy it within 15 days of written notice.
On termination you must pay for all work completed up to the termination date, plus any non-cancellable costs we have already committed to. Cancellation charges are set out in the Refund & Cancellation Policy.
15. Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control, including natural disaster, war, civil unrest, epidemic, government action, or failure of national infrastructure such as power or internet. The affected party must notify the other promptly.
16. Governing law and disputes
These Terms are governed by the laws of India. The courts at Chennai, Tamil Nadu have exclusive jurisdiction.
Before starting proceedings, both parties agree to attempt to resolve any dispute in good faith through discussion for at least 30 days.
